By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood, and agreed to be bound by these Terms and our applicable Privacy Policy, Shipping Policy, and Refunds & Returns Policy.

1. Research Use Only

All Products supplied by NU BioTech Labs are research-use compounds intended strictly for qualified laboratory research, in-vitro testing, analytical investigation, and related controlled research applications.

The Products are not drugs, food products, dietary supplements, cosmetics, medical devices, household chemicals, or consumer products. They are not intended for human or animal consumption, ingestion, inhalation, topical application, medical use, therapeutic use, diagnostic use, cosmetic use, veterinary use, or in-vivo administration of any kind.

By placing an order, you affirm that you are a qualified researcher or an authorized representative of a legitimate research organization and that all Products will be used strictly for lawful research purposes within an appropriately controlled laboratory environment.

You are solely responsible for complying with all applicable federal, state, local, institutional, and laboratory requirements concerning the acquisition, possession, handling, storage, documentation, transfer, and disposal of research compounds.

2. Eligibility

You must be at least 21 years of age and legally permitted to access the Site and purchase the Products. By using the Site or submitting an order, you represent that you satisfy all applicable age, identity, location, and eligibility requirements.

If you do not meet these requirements, you must not access the Site, create an account, or place an order.

NU BioTech Labs reserves the right to refuse service, decline transactions, cancel orders, restrict Site access, or terminate customer accounts at any time for any lawful reason, including suspected fraud, failed verification, prohibited intended use, inaccurate information, or compliance concerns.

3. Account Registration

Certain Site functions or purchases may require customer account registration. You agree to provide accurate, complete, and current information and to update that information whenever necessary.

You are responsible for protecting your login credentials and for all activity conducted through your account. You must not share account credentials with unauthorized individuals or permit another person to use your account.

Notify NU BioTech Labs immediately at [email protected] if you suspect unauthorized access, credential theft, fraudulent account activity, or another security issue involving your account.

4. Orders and Order Acceptance

Submission of an order constitutes an offer to purchase the selected Products. An automated order confirmation confirms only that NU BioTech Labs has received the order request. It does not constitute final acceptance.

NU BioTech Labs may review, decline, hold, modify, or cancel an order for reasons including:

• Product availability or inventory errors;
• Pricing, description, or website errors;
• Suspected fraud or unauthorized payment activity;
• Failed age, identity, address, or eligibility verification;
• Suspected prohibited or non-research intended use;
• Shipping limitations or unsupported destinations;
• Compliance with applicable law, processor requirements, or internal policies.

An order is accepted only when NU BioTech Labs confirms fulfillment or transfers the shipment to the applicable carrier.

If NU BioTech Labs cancels an order after payment has been successfully collected, the applicable amount will generally be returned to the original payment method, subject to payment-processor timelines.

5. Pricing, Taxes, and Payment

All prices displayed on the Site are listed in U.S. dollars unless otherwise stated. Prices do not necessarily include shipping charges, taxes, processing fees, or other amounts that may apply to an order.

Applicable taxes, shipping fees, discounts, and other charges will be calculated and displayed during checkout before the order is submitted.

Prices, promotions, product availability, and discounts may change without notice before an order is accepted.

Payment is due in full at the time of order placement through the payment methods offered during checkout.

By submitting payment information, you represent that:

• You are authorized to use the selected payment method;
• The payment information you provide is accurate and complete;
• You authorize NU BioTech Labs and its payment providers to process the complete order total;
• You will not submit a fraudulent or unauthorized payment dispute.

6. Shipping and Delivery

NU BioTech Labs currently ships within supported United States destinations. Shipping availability, methods, estimated transit times, tracking procedures, address requirements, packaging standards, and delivery limitations are described in our Shipping Policy.

The Shipping Policy is incorporated into these Terms by reference.

Delivery dates are estimates and are not guaranteed. Carrier delays, weather, transportation disruptions, service interruptions, incorrect customer information, and other circumstances outside our reasonable control may affect delivery.

7. Returns, Refunds, and Cancellations

Due to the sensitive nature of research-use compounds and our handling, storage, quality-control, contamination-prevention, and chain-of-custody requirements, all sales are final after an order has been processed, prepared, packed, or shipped.

NU BioTech Labs does not accept unauthorized returns and does not provide refunds or exchanges after Products have left our facility, except where otherwise required by applicable law or expressly approved by NU BioTech Labs.

Order cancellations must be requested before processing begins and are not guaranteed.

Additional requirements concerning damaged shipments, incorrect orders, address errors, carrier delays, unauthorized returns, and payment disputes are described in our Refunds & Returns Policy, which is incorporated into these Terms by reference.

8. Product Information and Certificates of Analysis

NU BioTech Labs may provide batch-specific Certificates of Analysis, testing information, product specifications, molecular information, purity information, handling details, storage guidance, or related research documentation through the Site.

Product information is provided for general laboratory-reference purposes and may be updated, corrected, or revised when appropriate.

Product images, vial mockups, labels, packaging, descriptions, specifications, and displayed colors may differ slightly from the Products supplied.

When a batch-specific Certificate of Analysis is available, the information shown on that certificate applies to the corresponding tested batch and should be reviewed together with all applicable laboratory documentation.

NU BioTech Labs does not provide medical advice, dosing information, administration instructions, therapeutic recommendations, diagnostic guidance, or recommendations concerning human or animal use.

9. Acceptable Use

You agree not to:

• Use the Site or Products in violation of applicable law, regulation, institutional requirement, or laboratory policy;
• Use, administer, ingest, inhale, inject, apply, or otherwise introduce a Product into a human, animal, or other living organism;
• Use the Products for medical, therapeutic, diagnostic, cosmetic, food, veterinary, recreational, household, or consumer purposes;
• Misrepresent your identity, age, professional status, institutional affiliation, intended use, shipping address, or payment authorization;
• Resell, redistribute, relabel, repackage, transfer, or advertise Products without prior written authorization from NU BioTech Labs;
• Sell or distribute Products through unauthorized marketplaces, social-media platforms, classified advertisements, or third-party websites;
• Attempt to scrape, copy, reverse-engineer, overload, disrupt, disable, or gain unauthorized access to the Site or its systems;
• Upload malicious code, automated scripts, harmful files, or content intended to interfere with Site security or performance;
• Use Site content, imagery, product information, or branding to mislead customers or impersonate NU BioTech Labs.

10. Intellectual Property

All Site content, including the NU BioTech Labs name, logo, trademarks, product imagery, vial mockups, label designs, graphics, written copy, page layouts, icons, documentation, downloadable materials, software, and source code, is owned by NU BioTech Labs or its licensors and is protected by applicable intellectual-property laws.

You may view Site content for personal or internal laboratory-reference purposes only.

You may not reproduce, republish, modify, distribute, sell, license, publicly display, scrape, copy, or create derivative works from Site content without prior written authorization from NU BioTech Labs.

You agree to indemnify, defend, and hold harmless NU BioTech Labs and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and suppliers from claims, liabilities, damages, judgments, losses, penalties, costs, and expenses, including reasonable legal fees, arising from or connected with:

• Your access to or use of the Site or Products;
• Your violation of these Terms;
• Your violation of applicable law, regulation, institutional rule, or third-party right;
• Your misuse, unauthorized transfer, relabeling, resale, administration, or prohibited use of a Product;
• Information or representations you submit through the Site;
• Activity conducted through your customer account.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms, the Site, or the Products shall be brought exclusively in the applicable state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction and venue of those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to These Terms

NU BioTech Labs may revise these Terms periodically to reflect changes to our Products, Site functionality, business practices, payment requirements, legal obligations, or compliance standards.

Updated versions will be posted on this page with a revised “Last updated” date. Where required, NU BioTech Labs may also provide notice through the Site, by email, or through another reasonable method.

Continued use of the Site after revised Terms become effective constitutes acceptance of the updated Terms.

16. Suspension and Termination

NU BioTech Labs may restrict, suspend, or terminate your Site access or customer account at any time when we reasonably believe that:

• You have violated these Terms;
• You have supplied inaccurate or misleading information;
• Your activity presents a legal, compliance, fraud, security, reputational, or operational risk;
• Your conduct may harm NU BioTech Labs, another customer, a service provider, or a third party;
• Termination is necessary to comply with applicable law or payment-processor requirements.

Provisions concerning research-use restrictions, acceptable use, intellectual property, warranty disclaimers, liability limitations, indemnification, dispute resolution, and other provisions that logically should survive termination will remain effective after account closure or termination.

17. Miscellaneous

These Terms, together with our Privacy Policy, Shipping Policy, Refunds & Returns Policy, and any additional terms displayed during checkout, constitute the entire agreement between you and NU BioTech Labs regarding the Site and Products.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

NU BioTech Labs’ failure to enforce a provision does not waive its right to enforce that provision later.

You may not assign or transfer these Terms without prior written consent from NU BioTech Labs. NU BioTech Labs may assign or transfer its rights and obligations in connection with a merger, acquisition, sale, restructuring, financing transaction, or transfer of business operations.
